Terms & Conditions
These terms govern the cooperation between Calvus Web Design and clients on web design and web development projects.
Last updated: 6 October 2026
1. Scope
These Terms & Conditions apply to all contracts for services provided by Rafael Colomina Laiz, self-employed under the business name Calvus Web Design (the “Provider”), with clients (the “Client”).
Deviating terms of the Client apply only where agreed in writing.
2. Scope of services
The Provider delivers web design, web development, technical implementation and related consulting services.
The specific scope of services follows exclusively from the individual offer or project agreement. Additional services such as copywriting, photography, translations, ongoing maintenance or analytics setup are included only where expressly agreed.
3. Website information, offer and contract formation
The packages, prices and price-calculator outputs shown on the website are non-binding information and indicative values; they do not constitute an offer in the legal sense.
Following an enquiry, the Provider prepares an individual offer setting out the services, price and timeline.
The contract is concluded when the Client accepts that offer or when a separate project agreement is signed. The content of that agreement prevails; these Terms apply in addition.
4. Project start and Client cooperation
The project starts after the contract is concluded and, where agreed, after receipt of the deposit.
The Client provides all information, content and access required for the project in good time and designates a contact person authorised to make decisions.
Delays caused by outstanding cooperation on the Client's side extend agreed deadlines accordingly.
5. Client-provided content
The Client is responsible for holding all necessary rights to the content it supplies (texts, images, logos, videos, data) and for ensuring that such content does not infringe third-party rights or applicable law.
To the extent permitted by law, the Client indemnifies the Provider against third-party claims arising from content it has supplied.
6. Design, approval and revisions
The design is submitted to the Client for approval. Upon approval, the respective version is deemed agreed and forms the basis for further implementation.
The number of revision rounds included follows from the offer. Further changes that were not agreed, as well as changes after approval has been given, are treated as additional services.
7. Deadlines
Deadlines and timelines are planned to the best of our knowledge and are binding only where expressly agreed as binding.
Delays due to missing content, outstanding feedback, subsequent change requests or disruptions at third parties postpone deadlines accordingly.
8. Acceptance
Upon completion, the Provider makes the project available for acceptance. The Client reviews the deliverable within the agreed period, otherwise within ten calendar days, and reports defects in a comprehensible form.
The deliverable is deemed accepted if the Client declares acceptance, fails to report defects within the period, or puts the result into productive use.
9. Prices and payment
The prices agreed in the offer apply. Unless agreed otherwise, these are one-time fixed project fees.
Prices on this website can be displayed in CHF, EUR, GBP or USD. Displaying prices in US dollars does not imply a company or an establishment in the United States. The binding price is the one stated in the quote, in the currency that quote specifies.
The Provider is currently not subject to Swiss VAT; no VAT is charged. If the VAT status changes, statutory tax will be charged in addition on future services.
Unless agreed otherwise, 50% is invoiced at project start and the remainder upon acceptance or before launch. Invoices are payable within 14 days of the invoice date without deduction.
Third-party costs — in particular for domains, hosting, licences, fonts, imagery or external services — are not included in the fee unless expressly agreed otherwise.
10. Late payment
If payment is not made after it falls due and a reminder has been sent, the Client is in default. The Provider may claim default interest in accordance with statutory provisions and reimbursement of reasonable reminder costs.
In the event of late payment, the Provider may suspend ongoing work until payment is received.
11. Additional work and change requests
Services outside the agreed scope are quoted in advance and carried out once confirmed by the Client.
Unless agreed otherwise, additional work is charged at the Provider's applicable hourly rate.
12. Domains, hosting and third-party services
Where possible, domains, hosting and other third-party services are registered in the Client's name and account, and the Client receives control over those accounts.
The Provider accepts no responsibility for the availability, performance, price changes or terms of third-party services. The terms of the respective providers apply.
13. Maintenance and support
Ongoing maintenance, updates, backups, monitoring and support are not included in the project fee. They can be obtained under a separate agreement.
14. Intellectual property and licence rights
The Provider retains the copyright in the works it creates. Upon full payment, the Client receives the non-exclusive right, unlimited in time and territory, to use the delivered result for the agreed purpose.
Transfer, resale or use as a template for further third-party projects requires the Provider's prior consent.
Third-party components used (e.g. open-source libraries, fonts, imagery) remain subject to their respective licence terms.
15. Portfolio and references
The Provider may name and depict completed projects as references where the Client has consented. Consent may be withdrawn at any time with effect for the future.
Client logos, quotes or result figures are published only with the express consent of the client concerned.
16. Warranty and defects
The Provider performs its services professionally and with due care. Defects reported within the statutory or agreed period are remedied by the Provider free of charge within a reasonable time.
There is no defect where deviations result from subsequent changes by the Client or third parties, improper use, changes to third-party services, or peculiarities of individual browser or device configurations outside the agreed testing scope.
Mandatory statutory warranty rights remain reserved.
17. Liability
The Provider is liable for damage caused intentionally or through gross negligence, and in all other cases where liability cannot be excluded under mandatory law, in particular for personal injury.
Otherwise, liability is excluded to the extent permitted by law; this applies in particular to indirect damage, consequential damage, loss of profit, data loss and damage arising from third-party services.
Mandatory provisions of Swiss law remain reserved in all cases.
18. Confidentiality
Both parties treat the other party's non-public information as confidential and use it solely to perform the contract. This obligation continues after the contract ends.
19. Termination
The contract ends once the agreed services have been fully delivered.
If a project is terminated early, the services rendered and expenses incurred up to that point are to be remunerated on a pro-rata basis.
The right of either party to terminate for good cause remains reserved.
20. Force majeure
Events beyond a party's reasonable control — in particular natural events, official measures, network or power outages, or failures of essential third-party services — release that party from the affected deadlines for their duration.
21. Data protection
The Provider processes personal data in accordance with the privacy policy of this website and applicable data protection law.
Where the Provider processes personal data on behalf of the Client within a project, a corresponding agreement will be concluded on request.
22. Governing law and jurisdiction
Swiss law applies exclusively, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction is Zurich, Switzerland, unless a mandatory statutory place of jurisdiction applies.
Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
